Terms of Service
Effective date: May 1, 2026
These Terms of Service (“Terms”) are a legal agreement between you and Neyda Technologies INC. (“we,” “our,” or “us”), the company that operates Jenora. By creating an account or using the Jenora mobile application, web application, or any related services (collectively, the “Services”), you agree to be bound by these Terms. If you do not agree, do not use the Services.
Please also read our Privacy Policy, which explains how we collect and handle your personal data and forms part of this agreement.
1. Acceptance of Terms
By accessing or using the Services, you confirm that you have read, understood, and agree to these Terms and our Privacy Policy. If you are using the Services on behalf of an organisation (for example, as a licensed therapist using the Therapist Portal), you represent that you have authority to bind that organisation to these Terms.
We may update these Terms from time to time. When we make material changes, we will notify you via in-app notice or email at least 30 days before the changes take effect. Your continued use of the Services after that date constitutes acceptance of the updated Terms.
2. Description of Services
Jenora is a personal growth and mental health support application that provides:
- Personalised roadmaps for recovery, mental health, and personal development
- Guided exercises, reflections, CBT-based tools, and psychoeducation content
- Mood tracking, check-ins, and zone planning tools
- AI-assisted insights and recommendations based on your progress data
- A Therapist Portal that allows licensed clinicians to view client progress, with explicit client consent
Important: Jenora is a wellness and self-help tool. It is not a medical device, clinical treatment platform, or substitute for professional mental health care. See Section 6 for our full mental health disclaimer.
3. Eligibility
You must be at least 20 years old to use the Services if you are in Thailand, or at least 18 years old in all other jurisdictions, unless your parent or legal guardian has provided verifiable consent. By using the Services, you represent that you meet this age requirement.
Therapist Portal access is restricted to licensed mental health professionals (therapists, counsellors, psychologists, psychiatrists, or equivalent licensed clinicians). By registering as a therapist, you represent that you hold a valid licence to practise in your jurisdiction and that you will use the portal in compliance with your professional and ethical obligations.
4. Account Registration and Security
To use the Services, you must create an account by providing accurate and complete information. You are responsible for:
- Maintaining the confidentiality of your login credentials
- All activity that occurs under your account
- Notifying us immediately at support@jenora.com if you suspect unauthorised access to your account
- Keeping your account information current and accurate
We reserve the right to suspend or terminate accounts that we reasonably believe have been compromised or used in violation of these Terms.
5. Acceptable Use
You agree to use the Services only for lawful purposes. You must not:
- Provide false, misleading, or fraudulent information to Jenora or other users
- Attempt to gain unauthorised access to any part of the Services or another user’s account
- Use the Services to harass, threaten, or harm any person
- Reverse engineer, decompile, or attempt to extract the source code of the Services
- Use automated tools (bots, scrapers) to access or collect data from the Services
- Transmit viruses, malware, or any other harmful code
- Use the Services in any way that violates applicable laws or regulations, including the Thailand PDPA or any applicable professional licensing requirements
- Resell, sublicence, or commercially exploit the Services without our written consent
6. Mental Health Disclaimer
This section is important. Please read it carefully.
Jenora is a wellness and self-help application. The content, tools, exercises, and AI-generated insights provided through the Services are for informational and educational purposes only. They do not constitute:
- Medical advice, diagnosis, or treatment
- A substitute for professional mental health care, therapy, or counselling
- A crisis intervention or emergency service
If you are experiencing a mental health crisis or medical emergency, please contact your local emergency services (such as 1323 in Thailand for the Department of Mental Health hotline) or go to the nearest emergency room immediately. Jenora is not equipped to respond to emergencies.
If you are currently working with a licensed therapist or other healthcare provider, Jenora is intended as a supplementary tool only. Always follow the advice and treatment plan provided by your healthcare provider.
To the maximum extent permitted by law, Neyda Technologies INC. disclaims all liability for any harm arising from reliance on the Services as a substitute for professional medical or mental health care.
7. AI-Generated Content
Jenora uses artificial intelligence to generate personalised insights, roadmap recommendations, and content suggestions. You acknowledge that:
- AI-generated content is produced algorithmically and is not reviewed by a licensed clinician before being shown to you
- AI-generated content may occasionally be inaccurate, incomplete, or inappropriate for your specific situation
- You should not rely solely on AI-generated content for mental health decisions
- AI recommendations do not constitute medical or professional advice
We continuously work to improve the quality and safety of AI-generated content. If you encounter content that concerns you, please report it to support@jenora.com.
8. Therapist Portal
The Therapist Portal is available to verified licensed clinicians only. By using the Therapist Portal, you agree that:
- You will only access client data for clients who have provided explicit, active consent through the Jenora platform
- You will use client data solely for the purpose of supporting that client’s therapeutic care
- You will comply with all applicable professional ethics standards and licensing requirements in your jurisdiction
- You will not share client data accessed through the portal with unauthorised third parties
- You acknowledge that Jenora is not currently a HIPAA Business Associate and will evaluate your own HIPAA obligations accordingly
- You accept sole responsibility for any clinical decisions made on the basis of information viewed through the portal
We reserve the right to revoke Therapist Portal access at any time if we have reasonable grounds to believe the portal is being used in violation of these Terms or in a manner harmful to clients.
9. User Content
You retain ownership of all content you create within the Services, including journal entries, reflections, and responses to exercises (“User Content”). By submitting User Content, you grant us a limited, non-exclusive licence to store, process, and display that content solely as necessary to provide the Services to you.
We do not use your User Content to train AI models or for any purpose other than delivering the Services to you and, where you have consented, sharing relevant data with your connected therapist.
10. Intellectual Property
All content, features, software, and technology in the Services — including the Jenora name, logo, design, roadmap methodology, and AI models — are owned by or licensed to Neyda Technologies INC. and are protected by intellectual property laws. You may not copy, modify, distribute, or create derivative works from any part of the Services without our written consent.
11. Subscription and Fees
Certain features of the Services may require a paid subscription. If you purchase a subscription:
- You authorise us to charge the applicable fees to your chosen payment method on a recurring basis
- Subscriptions renew automatically unless cancelled at least 24 hours before the renewal date
- Fees are non-refundable except where required by applicable law or as stated in our refund policy
- We will notify you of any changes to subscription pricing at least 30 days in advance

12. Termination
You may stop using the Services and delete your account at any time from within the app or by contacting us at support@jenora.com.
We may suspend or terminate your account if you materially breach these Terms, engage in conduct that harms other users or the integrity of the Services, or if we are required to do so by law. Where possible, we will give you notice and an opportunity to remedy the breach before terminating your account.
Upon termination, your right to use the Services ends immediately. Sections 6, 10, 13, 14, and 15 of these Terms survive termination.
13. Disclaimer of Warranties
The Services are provided “as is” and “as available” without warranties of any kind, either express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement. We do not warrant that the Services will be uninterrupted, error-free, or free of harmful components.
14. Limitation of Liability
To the maximum extent permitted by applicable law, Neyda Technologies INC. and its officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to your use of the Services, including but not limited to loss of data, loss of profits, or harm resulting from reliance on AI-generated content or from the Services being used as a substitute for professional care.
Our total liability to you for any claim arising out of or related to these Terms or the Services shall not exceed the greater of (a) the total amount you paid to us in the 12 months before the claim arose, or (b) USD 100.
15. Indemnification
You agree to indemnify and hold harmless Neyda Technologies INC. and its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable legal fees) arising out of your use of the Services, your violation of these Terms, or your violation of any rights of a third party.
16. Governing Law and Dispute Resolution
These Terms are governed by and construed in accordance with the laws of Thailand, without regard to its conflict of law provisions.
Any dispute arising out of or relating to these Terms or the Services shall first be attempted to be resolved through good-faith negotiation. If negotiation fails, disputes shall be submitted to the competent courts of Thailand, and both parties consent to the exclusive jurisdiction of those courts.
17. Privacy
Your use of the Services is also governed by our Privacy Policy, which is incorporated into these Terms by reference. By using the Services, you consent to the collection, use, and processing of your personal data as described in the Privacy Policy.
18. Severability and Entire Agreement
If any provision of these Terms is found to be unenforceable, that provision will be modified to the minimum extent necessary to make it enforceable, and the remaining provisions will continue in full force and effect.
These Terms, together with the Privacy Policy, the AI Disclosure, and the Data Consent agreement you accepted at onboarding, constitute the entire agreement between you and Neyda Technologies INC. regarding the Services and supersede all prior agreements.
